These Terms of Service (“Terms”) govern your access to and use of the products, platforms, and services provided by Vectar Energy (“Vectar”, “we”, “our”, “us”), including the ecoWise digital Monitoring, Reporting and Verification (dMRV) platform, and any related applications, content, or support.
By using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Eligibility and Acceptance
- You must be at least 18 years old and legally able to enter binding contracts under the laws of your country.
- By creating an account, accessing, or using the Services, you represent and warrant that you meet these requirements.
- If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
- Business partners, consultants, and affiliates
- Services are available globally, including in Nigeria and other supported jurisdictions.
2. Scope of Services
We provide:
- Digital Monitoring, Reporting and Verification (dMRV) tools for renewable energy and carbon performance
- Energy/carbon data analytics, reporting, and insights
- Technical support, advisory, and capacity-building services
Important: We are a technology service provider. We are not an electricity generator, distributor, or utility and are not licensed by the Nigerian Electricity Regulatory Commission (NERC) or equivalent utility regulators.
We may enhance, update, or discontinue features of the Services at any time, provided we do not materially degrade their core functionality without notice.
3. Account Registration and Security
- You may need to create an account to use certain features. You must provide accurate, complete, and current information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must immediately notify us of any unauthorized use of your account or security breach.
- We are not liable for any loss or damage resulting from your failure to secure your account credentials.
4. User Obligations
You agree to:
- Use our Services only for lawful purposes and in compliance with all applicable laws and regulations
- Provide and maintain accurate contact, billing, and technical information
- Not tamper with, reverse-engineer, decompile, or otherwise attempt to derive the source code of our software
- Not damage, disrupt, or interfere with the integrity or performance of the Services
- Not resell, sublicense, or offer our Services to third parties without our prior written consent
- Comply with all export control and trade laws applicable to your use of the Services
5. Fees, Billing, and Payments
- Fees are published on our website or as set out in your contract or order form.
- All payments must be made in full by the due date stated on the invoice.
- Late payments may result in service suspension, late fees, or termination.
- Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable taxes.
6. Service Availability and Warranties
- We aim to provide continuous availability of the Services, but we do not guarantee uninterrupted or error-free operation.
- The services are provided on an "as is" and "as available" basis.
- We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Intellectual Property and Data Ownership
- All intellectual property rights in the Services, software, platform content, data models, and related materials are owned by or licensed to Vectar.
- You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
- You may not copy, modify, distribute, or create derivative works based on our content or technology without our written consent.
- You retain ownership of any data you submit to the Services. By submitting data, you grant us a license to process and use it solely to provide and improve the Services.
8. Confidentiality
- You agree not to disclose any non-public or proprietary information obtained through your use of the Services without our prior written consent.
- We will protect any confidential information you share with us, except where disclosure is required by law or regulation.
9. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, loss of data, or business interruption) arising out of your use of the Services.
- Our total cumulative liability under these Terms will not exceed the total fees paid by you to us in the six (6) months preceding the event giving rise to the claim.
- Nothing in these Terms limits liability for fraud, willful misconduct, or personal injury caused by negligence where such limitation is not allowed by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vectar, its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses arising from:
- your breach of these Terms
- your misuse of the Services
- your violation of applicable laws or third-party rights
11. Suspension and Termination
- We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or we are required to by law or regulation.
- Upon termination, you must cease using the Services and delete any Vectar software or confidential materials.
- Termination does not affect any rights or obligations that accrued prior to termination.
12. Changes to the Terms
We may update these Terms from time to time. Updated Terms will be posted on our website with the revised "Last Updated" date. Continued use of the Services constitutes your acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles.
- Any dispute will be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria, unless otherwise agreed in writing.
- We encourage resolving disputes amicably through negotiation before resorting to litigation.
14. Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Vectar. You act as an independent party using our Services.
